By accessing or using Criteriant Provider Ops ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users of the Service, including CME providers, coordinators, and administrators.

2. Description of Service

Criteriant Provider Ops is a cloud-based platform designed to help CME providers manage their program operations, including:

• Managing CME activities and learner data
• Generating certificates and transcripts
• Submitting data to ACCME PARS and MOC boards
• Collecting evaluations and generating reports
• Managing faculty and disclosures

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use the Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be authorized to represent your organization
• Notify us immediately of any unauthorized access
• Be at least 18 years of age

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Upload malicious code, viruses, or harmful content
• Scrape, copy, or reverse engineer the Service
• Resell or redistribute the Service without authorization
• Submit false or misleading information

5. Your Data and Content

You retain ownership of all data and content you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to:

• Store, process, and display Your Data to provide the Service
• Submit Your Data to PARS and MOC boards as authorized by you
• Create backups and ensure data security
• Generate aggregated, anonymized analytics

You are responsible for the accuracy, legality, and compliance of Your Data. You represent that you have all necessary rights and permissions to submit Your Data to the Service.

6. Fees and Payment

Use of the Service may be subject to fees based on your subscription plan. You agree to:

• Pay all fees according to your subscription plan
• Provide accurate billing information
• Authorize automatic renewal unless you cancel
• Pay any applicable taxes

We may change our fees with 30 days' notice. Failure to pay may result in suspension or termination of your account.

7. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice. Upon termination, you will lose access to the Service, but you may request an export of Your Data within 30 days.

8. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of data
• Warranties that the Service will meet your specific requirements

You are solely responsible for ensuring that your use of the Service complies with ACCME standards and all applicable regulations.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRITERIANT SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from unauthorized access to your account
• Damages from errors, delays, or interruptions in the Service
• Damages from third-party services (PARS, MOC boards)

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service.
